Job Details

• Advise startups and emerging companies on formation, equity structure, and corporate governance
• Handle venture financings including SAFEs, convertible notes, and priced equity rounds
• Draft and negotiate equity compensation plans including stock options, restricted stock, and RSUs
• Counsel clients on federal and state securities law compliance
• Support M&A, acqui-hire transactions, and exit strategies
• Advise on licensing, commercial contracts, software licenses, and IP transactions
• Represent angel investors and venture capital funds in financing transactions
• Assist with formation of investment funds and special purpose entities
• Manage cap tables and support clients through due diligence processes


Looking For:

• J.D. and licensed to practice in Washington State
• Minimum 3 years of experience, with a focus on startup, emerging company, and venture capital law
• Strong background in venture financings, including SAFEs, convertible notes, and preferred stock offerings
• Experience with equity compensation design and securities law compliance
• Proven experience advising founders and investors across the full company lifecycle — formation through exit
• M&A or strategic transaction experience preferred
