Job OverviewA law firm seeks a midlevel corporate associate with experience in emerging companies and venture capital in Chattanooga, TN. The candidate will provide legal guidance on corporate and transactional matters, supporting clients from formation to exit.

DutiesAdvise emerging companies and venture capital investors on corporate and transactional matters.Draft and negotiate venture capital financing documents, including term sheets and convertible notes.Provide legal guidance on corporate governance, including board and shareholder issues.Support clients in mergers and acquisitions, joint ventures, and strategic transactions.Conduct due diligence and assist in transactional closings.Act as outside corporate counsel to early-stage and late-stage private companies.Manage internal and external client and counsel relationships.Requirements3 to 5 years of experience in relevant legal fields.Must reside in the Chattanooga area at or prior to the time of hire.Expected to work in the office at least three business days per week.EducationJD from an ABA Accredited Law School.CertificationsMust be licensed or ready to become licensed to practice law in Tennessee.SkillsStrong academic background.Excellent research and writing skills.Relevant transferable skills.Benefits SKILLS - Corporate - M&A,Corporate - Venture Capital/ Emerging Companies,Corporate - General
