Crusoe Energy Systems is seeking a Legal Counsel for Commercial Contracts in San Francisco, CA. The role involves reviewing, drafting, and negotiating various commercial agreements, conducting legal research, ensuring compliance, and collaborating with business stakeholders. Candidates should have 5+ years of experience in corporate law or contracts, particularly in commercial agreements. The position focuses on building relationships, risk mitigation, and improving legal processes within the company.

About This Role
Crusoe is seeking a motivated, practical and solution-oriented attorney to review, draft and negotiate a variety of commercial agreements. This position is part of the Legal team. The successful candidate will be a law graduate with 5+ years of experience in corporate law or contracts, particularly including working across business, procurement and legal teams on vendor services and supply agreements, purchase orders, and confidentiality agreements. While not required, experience with real estate development and infrastructure projects, renewable development and construction agreements is extremely helpful as well.
What You’ll Be Working On:
• Contract Management: Draft, review, and negotiate a variety of commercial agreements, including equipment purchase agreements, consulting agreements, master services agreements, leases, energy supply agreements, and non-disclosure agreements.
• Legal Research & Analysis: Conduct legal research and provide sound legal advice on a range of legal and business issues.
• Risk Mitigation: Analyze and mitigate legal and commercial risks associated with business transactions.
• Legal Compliance: Ensure compliance with applicable laws and regulations.
• Stakeholder Collaboration: Collaborate closely with business stakeholders (e.g., procurement, engineering, finance) to understand their needs and translate them into clear and concise legal terms.
• Relationship Building: Build strong relationships with internal and external stakeholders, including vendors, customers, and legal counsel.
• Issue Resolution: Proactively identify and address potential legal issues.
• Communication & Stakeholder Engagement: Effectively communicate complex legal concepts to non-lawyers in a clear and concise manner.
• Internal & External Coordination: Interact with colleagues across various departments, including procurement, engineering, finance, and operations. Engage with external counsel and vendors as needed.
• Process Improvement: Contribute to the development and improvement of internal legal processes and procedures.
• Contract Template & Playbook Development: Develop and maintain contract templates and playbooks.
• Team Training & Development: Conduct training sessions for business teams on contract-related matters.
• Innovation & Efficiency: Drive efficiency and innovation within the Legal department.
What You’ll Bring to the Team:
• Relevant Experience: 5+ years of experience in corporate law or contracts, with a focus on commercial agreements (e.g., equipment purchase agreements, services agreements, leases).
• Industry Experience: Experience working in a fast-paced, high-growth environment is strongly preferred.
• Legal & Analytical Expertise: Proven ability to analyze complex legal issues, identify solutions, and communicate them effectively.
• Communication & Interpersonal Skills: Excellent written and verbal communication, interpersonal, and negotiation skills.
• Analytical & Problem-Solving Skills: Strong analytical and problem-solving skills with a keen eye for detail.
• Work Ethic: Ability to work independently and as part of a team.
• Education: Juris Doctorate (J.D.) degree from an accredited law school.
• Bar Admission: Active and in good standing with the applicable State Bar.
• Industry Knowledge: Experience with energy, infrastructure, or technology industries is a plus.

• Renewable Energy Experience: Experience with renewable energy or sustainable infrastructure projects.
• Real Estate & Construction Expertise: Experience with real estate development and construction agreements.
• Blockchain & Cryptocurrency Knowledge: Experience with blockchain or cryptocurrency technologies.
• Data Privacy & Cybersecurity Expertise: Familiarity with data privacy and cybersecurity laws.

Compensation:
Compensation will be paid in the range of $245K-$290K. Restricted Stock Units are included in all offers. Compensation to be determined by the applicant’s education, experience, knowledge, skills, and abilities, as well as internal equity and alignment with market data.
