Job Title: Energy Project Finance Attorney
Job Overview: A law firm based in San Francisco, CA is seeking two highly experienced legal professionals to support its growing energy transactions practice. These roles are ideal for attorneys with a strong background in project finance—one focused on debt structuring, and the other specializing in tax equity or mergers and acquisitions. This opportunity offers a high level of engagement, with a focus on renewable energy projects including wind, solar, storage, and other clean technologies. Successful candidates will take a lead role in complex transactions, interface directly with clients, and work on cutting-edge projects that shape the evolving energy sector.
Duties: Lead representation of clients involved in the development, acquisition, and financing of renewable energy projects
Advise sponsors and financial institutions in structuring and negotiating complex financial arrangements
Draft and revise primary and supporting transaction documents including:
Loan and security agreements
Debt term sheets
Guarantees and collateral documentation
Tax equity contribution agreements
Joint venture, partnership, and purchase agreements
Coordinate with clients and third-party advisors across all phases of the transaction
Provide insight on project-level contracts including EPC, supply, O&M, and offtake agreements
Supervise and mentor junior team members on transactional workflow and documentation
Navigate multifaceted deal timelines and regulatory considerations with minimal oversight
Requirements: Minimum 5 years of legal experience in the energy industry at a nationally recognized law firm or comparable in-house legal department
Demonstrated experience in either:
Project finance with an emphasis on debt structuring (e.g., construction and term loans)
Project finance involving tax equity, joint ventures, or renewable asset M&A
Strong interpersonal and leadership skills with a client-focused mindset
Ability to oversee end-to-end transaction processes and manage junior associates
Admission to the State Bar of California
Education: Juris Doctor (J.D.) from an accredited U.S. law school
Academic distinction from a top-tier institution preferred
Certifications: Active membership in good standing with the California Bar
Skills: Proficient in negotiating and drafting complex financing and transactional agreements
Skilled in handling cross-functional deal teams and collaborating across disciplines
Strong analytical, research, and verbal communication capabilities
Capable of operating independently and within collaborative legal teams
Familiarity with project development documentation for large-scale energy infrastructure
