Job Overview:
A prominent law firm located in San Diego, CA is seeking two seasoned attorneys with deep experience in the renewable energy sector to join its Infrastructure and Energy Finance practice. These roles offer a unique opportunity to support major transactions in one of the most dynamic industries, with meaningful client interaction and the chance to advise on complex energy project financings. The firm is looking to fill two roles: one with a focus on debt financing and the other on tax equity and mergers & acquisitions (M&A).

Duties:
• Represent sponsors and financing parties in renewable energy transactions, including project development, acquisition, and financing.
• For Debt-Focused Role:
• Structure, draft, and negotiate financial agreements such as construction loans, term loans, and secured lending arrangements.
• Prepare and negotiate debt-related documentation including loan agreements, collateral documents, guarantees, and consents.
• For Tax Equity/M&A-Focused Role:
• Handle transactions involving tax equity partnerships, joint ventures, and asset acquisitions/sales.
• Draft and negotiate equity investment documentation such as capital contribution agreements, joint venture contracts, purchase agreements, and related ancillary materials.
• Collaborate with clients, internal teams, and external advisors to drive transactions from start to finish.
• Oversee and mentor junior team members through the transaction lifecycle.
• Advise on key project development and operational contracts such as EPC contracts, supply agreements, power purchase agreements, and O&M contracts.

Requirements:
• Minimum of 5 years of legal experience in the energy sector, ideally with a recognized law firm or a corporate legal department.
• Deep subject matter knowledge in either energy project debt financing or tax equity/M&A work related to renewable energy.
• Strong command of legal drafting, contract negotiation, and financial transaction management.
• Capable of independently managing complex transactions and client relationships.
• Familiarity with project-level development contracts and their impact on financing.
• Licensed and in good standing with the state bar in the jurisdiction of residence.

Education:
• Juris Doctor (J.D.) from an accredited, top-tier law school.

Certifications:
• Active membership in a U.S. State Bar (must be in good standing).

Skills:
• Excellent written and oral communication skills.
• Strong analytical and problem-solving capabilities.
• High attention to detail with the ability to handle multiple priorities.
• Comfortable managing deal teams and mentoring junior attorneys.
• Demonstrated ability to work collaboratively and independently.
• Client-focused mindset with sound business judgment.
