Job Overview:
A respected law firm based in Costa Mesa, CA is seeking two seasoned attorneys with significant experience in project finance, particularly within the renewable energy space. One role will concentrate on debt financing transactions, while the other will focus on tax equity structures and/or M&A involving energy projects. These positions offer an opportunity to engage directly with clients on complex transactions that shape the future of sustainable energy infrastructure.

Duties:
• Serve as lead counsel on large-scale renewable energy financing transactions.
• Represent developers, sponsors, and financial institutions on transactions involving the development, acquisition, and financing of energy infrastructure projects.
• Draft, review, and negotiate key transactional documents, including:
• For debt-focused role: construction loans, term loans, supply chain financing, security agreements, guarantees, and related instruments.
• For tax equity/M&A role: tax equity partnership agreements, capital contribution agreements, purchase agreements, joint venture documents, and ancillary instruments.
• Advise on contractual aspects of project development, including EPC contracts, equipment procurement agreements, O&M agreements, and offtake arrangements.
• Lead due diligence efforts, supervise junior attorneys, and coordinate with third-party advisors.
• Maintain direct, ongoing communication with clients, helping them navigate complex regulatory and transactional matters.

Requirements:
• Minimum 5 years of experience handling complex project finance matters in the energy sector.
• Demonstrated expertise in either debt financing or tax equity/M&A transactions related to renewable energy.
• Strong grasp of market-standard financing and equity deal structures.
• Admission to the California Bar and in good standing.
• Proven ability to independently manage sophisticated transactions from inception through closing.
• Experience guiding junior legal team members and coordinating across practice groups.

Education:
• Juris Doctor (J.D.) degree from a highly regarded law school.
• Solid academic background and legal training preferred.

Certifications:
• Active Bar membership in the state of California.

Skills:
• Advanced drafting, negotiation, and analytical skills.
• Strong interpersonal communication and leadership abilities.
• Ability to handle complex matters with attention to detail and sound legal judgment.
• Capacity to manage fast-paced deals while meeting client expectations.
• Familiarity with energy project development contracts and operational agreements.
