Job Overview:
A prominent law firm based in San Francisco, CA, is seeking a dedicated and experienced associate to support its Energy, Environmental, and Infrastructure practice group. This position is suited for a legal professional with 3-7 years of post-JD experience, particularly in transactional matters involving energy, natural resources, and infrastructure projects. The role provides the opportunity to engage in sophisticated work involving renewable energy, project development, joint ventures, and commercial transactions across various energy sectors.
Duties:
• Support complex transactional matters involving the energy and natural resource sectors
• Draft and negotiate documents for mergers, acquisitions, and project development transactions
• Manage commercial contracts such as power purchase agreements (PPAs), operations and maintenance agreements, procurement contracts, and shared facilities agreements
• Assist with structuring and documenting renewable energy joint ventures and build-to-transfer arrangements
• Advise clients on engineering, procurement, and construction (EPC) contracts for energy generation facilities
• Participate in transactions involving financing in the energy and natural resources space
• Collaborate across teams to deliver cross-practice legal solutions in infrastructure-related deals
• Contribute to business development activities within the energy and environmental sectors
Requirements:
• Minimum of 3-7 years of relevant transactional legal experience, preferably in a law firm setting
• Proven track record of managing sophisticated renewable and conventional energy transactions
• Familiarity with energy-related project development, joint ventures, and commercial agreements
• Experience with EPC and procurement agreements is advantageous
• Exposure to energy project finance, including lender or sponsor-side representation, is desirable
• A background in oil and gas transactions is a plus
• Ability to manage multiple priorities in a fast-paced, team-oriented environment
• Excellent interpersonal, organizational, and communication skills
Education:
• Juris Doctor (JD) from an accredited law school
Certifications:
• Admission to the State Bar of California or eligibility to become admitted
Skills:
• Strong legal drafting and negotiation skills
• Detail-oriented with effective project management abilities
• Capable of building client relationships and working across legal disciplines
• Comfortable navigating complex energy sector agreements and regulations
• Demonstrated initiative and a high degree of professional responsibility
