Job Description
RBC Capital Markets is seeking a Director & Managing Counsel in Providence, RI, to provide legal coverage for M&A and Financial Advisory activities. The role includes drafting and negotiating engagement letters and collaborating with various stakeholders. Candidates should have a JD and 8-10+ years of relevant experience. This position is hybrid, requiring 3 days in the office and 2 days working from home.

What is the opportunity?
The Director & Managing Counsel will provide Investment Banking legal coverage with primary coverage responsibility for M&A and Financial Advisory activities and may provide ancillary legal support for Equity Capital Markets, Fixed Income Capital Markets, and Private Placement transactions. This role will interact with members of the Legal Affairs and Compliance Group and other functional groups, senior and junior level front office partners, and representatives of third parties such as clients, governmental entities, accountants, and law firms.
This is a hybrid office/work from home environment; 3 days per week in office, 2 days per week work from home.
What will you do?
• Review, draft and negotiate M&A engagement letters
• Review fairness opinions and proxy disclosure
• Provide primary legal coverage and training on M&A and financial advisory activities for the investment banking industry coverage and product coverage groups
• Provide primary legal representation on various internal committees
• Prepare standard forms, policies and procedures for the investment banking business
• Provide ancillary support on other capital markets transactions including related documentation (e.g., underwriting agreements, offering documents, placement engagement letters)
• Supervise and collaborate with external counsel on investment banking transactional matters
What do you need to succeed?
Must-have
• Education Level:JD from a U.S. law school
• Experience: 8-10+ years in a law firm and/or in-house investment banking position
• M&A transactional and advisory experience including experience drafting and negotiating M&A engagement letters; in-house counsel experience at a large investment bank a plus
• Substantial knowledge of and experience with rules and regulations as well as market practices applicable to US investment banking business
• Strong drafting and analytical skills, superior judgment and practical, risk-based decision-making capabilities with a problem-solving attitude
• Strong communication skills including the ability to provide clear, concise and practical advice and guidance to senior business partners
• Ability to provide pro-active structuring solutions with a comprehensive understanding of associated risks
• Strong interpersonal skills and capacity to build relationships; ability to provide training to senior and junior level front office partners and to facilitate business in a risk-appropriate and cost-effective manner
Nice-to-have
• Some experience with equity and/or fixed income capital markets transactions and private placements

The expected salary range for this particular position is $200,000-275,000, depending on your experience, skills, and registration status, market conditions and business needs.
