About the Role
This role focuses on advising on joint ventures and project financings within the energy and infrastructure sectors. You will support the structuring, negotiation, and execution of financing agreements, working closely with sponsors, lenders, and regulatory authorities to facilitate multi-billion-dollar transactions.
The role demands expertise in project finance, risk mitigation, and cross-border legal frameworks.
Key Responsibilities
• Advise on the legal structuring of joint ventures, shareholder arrangements, and multi-party investments.
• Structure, negotiate, and draft project finance agreements, including loan facilities, security packages, and off-take agreements.
• Manage legal risks and ensure compliance with international project finance regulations.
• Support M&A transactions and equity investments related to energy and infrastructure.
• Work closely with lenders, investors, and corporate stakeholders on deal execution.
• Oversee due diligence processes, risk analysis, and contractual negotiations.
• Provide strategic legal advice on regulatory, corporate governance, and risk allocation issues.
• Monitor and advise on international legal developments affecting project finance.
• Represent the company in high-level negotiations and board discussions.
Skills & Experience
• 10+ years' experience in project finance, joint ventures, or energy infrastructure law.
• Currently licensed, admitted to practice, and in good standing in the United States, Canada, England & Wales, the European Union, or an equivalent jurisdiction.
• Extensive experience in structuring and negotiating project finance transactions.
• Strong background in joint ventures, equity investments, and shareholder agreements.
• Deep understanding of debt and equity financing structures in the energy sector.
• Experience advising on regulatory frameworks and risk mitigation strategies.
• Ability to manage complex, cross-border legal matters with multiple stakeholders.
• Strong contract negotiation, drafting, and analytical skills.
