Energy Project Finance Attorney (US)

Sheppard, Mullin, Richter & Hampton LLP is seeking two senior-level Energy Project Finance Attorneys in Chicago, IL, focusing on debt and tax equity/M&A in renewable energy. Candidates should have over five years of relevant experience, strong communication skills, and the ability to manage junior associates. The firm represents major players in the energy sector and offers a salary range of $365,000 - $455,000.
Our Energy, Infrastructure and Project Finance team seeks two senior-level project finance attorneys —one debt and one tax equity/M&A— to join our group. The ideal candidates should have over five years of experience.

Sheppard Mullin is a global AmLaw 50 full-service law firm with over 1,200 attorneys across 16 offices worldwide. Our Energy, Infrastructure and Project Finance team comprises over 55 attorneys across the firm, representing some of the largest and most innovative energy industry players, including leading utilities, pipeline operators, municipalities, independent power producers, commercial banks, equity and tax investors. EPC contractors and energy technology companies come to us for assistance on their most important energy related legal matters.

This is an opportunity to represent clients in a growing industry and have substantive responsibility with client contact working on a variety of transactions regarding the representation of sponsors and financing parties in connection with the development, acquisition, and financing of renewable energy projects.

We are interested in candidates who have experience in the following areas, specifically with renewable energy projects:
• Project finance work in the energy industry with a strong emphasis on debt work (construction debt, term debt, equipment supply loans).

Experience and strong familiarity with drafting and negotiating debt term sheets, loan agreements, security documents, consents to collateral assignment, related guarantees and various other ancillary debt documents.

Or
• Project finance work in the energy industry with a strong emphasis on tax equity work and/or M&A work (tax equity partnerships, cash equity investments, joint ventures, acquisitions/sales of portfolio of renewable of projects).
• Experience and strong familiarity with drafting and negotiating term sheets, equity capital contribution agreements, partnership agreements, joint venture agreements, membership interest purchase agreements, purchase agreements, related guarantees, estoppels and other ancillary equity documents.
• At least some familiarity with project development and project operation contracts such as EPC Contracts, Supply Agreements, Offtake Agreements, O&M Agreements.

Requirements and Details:
• 5+ years of experience in the energy industry at a large law firm with a national reputation or comparable in-house
counsel role.
• Excellent oral communication, writing, research and analytical skills.
• Ability to manage junior associates on a transaction, manage the process of a transaction, take ownership of projects, work effectively as a member of a team and communicate directly with clients and third-party advisors regularly.
• Strong academic credentials from top-tier law school.
