Deriva Energy is seeking a Compliance Manager for its Charlotte, NC location. The role involves leading compliance programs, managing procedures, and ensuring adherence to regulatory requirements. The Compliance Manager provides leadership, direction and operational oversight for compliance programs. This role will manage work in multiple areas of specialization. This role will lead team initiatives, develop solutions and take actions to resolve issues.
The ideal candidate will have working knowledge of fundamental concepts and understand how to develop and apply procedures while balancing internal (e.g. debt compliance, corporate policies) and external regulatory compliance requirements (e.g. Dodd Frank) and the needs of the business.
Provides leadership and operational oversight of activities associated with procedural process development & maintenance, training program management, and associated documentation.
Responsibilities:
Compliance Management
• Develop an understanding of and maintain compliance items tracked in existing compliance tracking system.
• Review new debt, tax-equity, PPA or other agreements and any associated compliance checklists to determine compliance items to be tracked in the compliance system.
• Update compliance system for new contracts/agreements requiring compliance tracking and ensure appropriate SOX documentation is in place supporting the system changes.
• Ensure timely sign-off of compliance matters by assigned employees.
• Communicate periodic compliance tracking results to accounting for financial statement reporting or cash certificate processing.
• Develop and implement compliance procedures and protocols to mitigate risks and potential violations associated with Deriva policies.
• Update Deriva policies to maintain consistency with corporate risk policies or initiatives.
• Prepare quarterly corporate reporting associated with Deriva policies and procedures.
• Conduct compliance reviews of Deriva Energy policies as requested by cross-functional departments.
• Maintain current and new Dodd Frank swaps associated with project power purchase/renewable energy agreements in CME swap data repository.
• Interact with internal or external legal counsel on Dodd Frank reporting matters as needed.
• Prepare or review other internal or external compliance filings (e.g. EIA, CEC)
• Assist with other Risk Group initiatives or deliverables as schedule permits.
Policy Development and Implementation
• Create, review, and maintain procedure documents and templates to support the consistent application of Deriva Energy policies and other compliance issues.
• Develop appropriate compliance tracking with policies and procedures as required.
• Work across teams to ensure the consistent implementation of these policies across all company locations.
Risk Management
• Identify potential compliance risks and develop strategies to mitigate them.
• Work closely with other teams to implement a risk management framework to monitor and address compliance-related issues proactively.
Training and Development
• Conduct training sessions for relevant staff to develop or enhance their understanding of Deriva Energy policies and procedures and/or compliance tracking system.
• Foster a culture of compliance and ethical practice throughout the organization.
Basic Qualifications:
• Bachelor's degree Finance, Economics, Business or other related discipline.
• In addition to a degree, five (5) or more years of related experience.
Desired Qualifications:
• Motivated with strong written and verbal communication skills and demonstrated ability to provide briefings to various levels of staff/ management.
• Demonstrated ability interpreting and working with debt, tax-equity and other business-related contracts/agreements.
• Innovative with the ability to recognize and seek improvement and efficiency opportunities
• Demonstrated ability to work in high pressure situations and within a team environment
• Demonstrated effective problem solving & analytical skills
• Demonstrated strong leadership skills, negotiation, conflict management skills, influencing skills, ability to give and receive positive and constructive feedback
• Demonstrated ability to review or conduct observations/audits of compliance related projects and programs
• Knowledge of risk management processes (e.g., methods for assessing and mitigating risk)
• Ability to work independently, problem-solve through creative processes and establish partnerships with corporate and business groups, legal counsel, auditors and external parties.
• The individual must possess demonstrated project management abilities and be capable of presenting complex technical information in an easily understandable format and context
• The ability to function well in a fast-paced, changing environmental while meeting deadlines.
• CPA, CIA (Certified Internal Auditor)
